DLab Solution provides digital and white-label services to businesses, agencies, and organisations. Our services may include:
Branding & Strategy
Social Media Management
Search Engine Optimization (SEO)
Website Development
Digital Marketing
Content Writing & Copywriting
Other digital services agreed with the client
Specific services, deliverables, timelines, and fees will depend on the individual project or agreement.
2. Use of Our Website
You agree to use our website lawfully and responsibly.
You must not:
Use the website for unlawful purposes
Attempt to gain unauthorised access to our systems
Introduce malicious code, viruses, or harmful material
Interfere with the operation or security of the website
Copy or reproduce website content without permission
Misrepresent your identity or affiliation
Use our website in a way that could damage our business or reputation
We reserve the right to restrict or terminate access to the website where we reasonably believe these terms have been breached.
3. Enquiries and Consultations
Submitting an enquiry or booking a consultation does not automatically create a contract between you and DLab Solution.
A project will only begin once the relevant scope of work, pricing, deliverables, and other applicable terms have been agreed.
4. Services and Scope of Work
The exact services provided will be determined by the agreed project scope.
Any proposal, quotation, statement of work, service agreement, or written confirmation may specify:
Services included
Deliverables
Project milestones
Estimated timelines
Fees
Payment terms
Number of revisions
Client responsibilities
Third-party costs
Other project-specific conditions
Any work outside the agreed scope may be subject to additional fees and timelines.
5. White-Label Services
Where DLab Solution provides white-label services to an agency or reseller, the agency may present the agreed deliverables to its own clients under its own brand, subject to the terms of the applicable agreement.
Unless otherwise agreed in writing, DLab Solution does not have a direct contractual relationship with the agency’s end clients.
The agency remains responsible for its own client relationships, pricing, representations, approvals, and communications.
6. Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information, materials, access credentials, approvals, and feedback required to complete a project.
Delays caused by missing information, delayed approvals, unavailable access, or other client-side issues may affect project timelines.
Clients must ensure that materials they provide to us do not infringe the rights of third parties.
7. Payments and Fees
Fees and payment schedules will be communicated before work begins.
Unless otherwise agreed in writing:
Deposits or advance payments may be required before work begins.
Invoices must be paid within the agreed payment period.
Additional work outside the agreed scope may incur additional charges.
Third-party costs may be charged separately where applicable.
Failure to make payments on time may result in suspension or delay of services.
8. Refunds and Cancellations
Because many of our services involve time, resources, research, development, creative work, or customised deliverables, refunds may not be available for work that has already been completed or commenced.
Any refund, cancellation, or credit will be handled according to the applicable project agreement or written terms provided to the client.
Where applicable, clients should contact us as soon as possible regarding cancellation requests.
9. Project Timelines
We aim to complete projects within the estimated timeframe communicated to the client.
However, timelines are estimates and may depend on:
Client feedback
Approvals
Availability of required information
Third-party platforms
Technical requirements
Scope changes
Unexpected technical issues
We do not guarantee completion by a particular date unless a specific deadline has been expressly agreed in writing.
10. Revisions and Changes
The number of revisions included in a project may vary depending on the agreed scope.
Requests that substantially change the original brief, design direction, functionality, strategy, or deliverables may be treated as additional work and may result in additional charges.
11. Intellectual Property
Unless otherwise agreed in writing, DLab Solution retains ownership of its pre-existing materials, processes, methodologies, templates, tools, systems, know-how, and internal resources.
Upon receipt of full payment, ownership or usage rights for specifically commissioned final deliverables will be transferred or licensed to the client as specified in the applicable agreement.
Third-party materials, fonts, plugins, software, stock images, APIs, and other licensed assets remain subject to their respective third-party licences.
12. Client-Provided Content
You retain responsibility for content, images, trademarks, logos, documents, data, and other materials that you provide to us.
You represent that you have the necessary rights and permissions to use those materials and to authorise us to use them for the purposes of providing the services.
You agree to indemnify us, to the extent permitted by law, against claims arising from materials supplied by you that infringe third-party rights.
13. SEO and Marketing Disclaimer
SEO, digital marketing, advertising, social media, and other marketing services can improve visibility and performance, but results depend on numerous factors beyond our control.
We do not guarantee:
A specific Google ranking
A specific amount of website traffic
A specific number of leads or sales
A particular advertising return on investment
A specific social media following
Continued rankings or traffic levels
Search engines, advertising platforms, social networks, and other third parties may change their algorithms, policies, systems, or requirements at any time.
14. Website Development
Website development projects may depend on third-party hosting providers, domains, plugins, APIs, payment processors, themes, software, and other technologies.
We are not responsible for failures, outages, policy changes, security incidents, or functionality changes caused by third-party platforms.
Ongoing maintenance, hosting, updates, security monitoring, and support are included only where expressly agreed.
15. Third-Party Services
Our services may involve third-party platforms and technologies.
These may include hosting providers, advertising platforms, analytics services, social media platforms, payment processors, plugins, software, APIs, and other external services.
We are not responsible for changes, interruptions, restrictions, or failures caused by third parties.
16. Confidentiality
We will take reasonable steps to protect confidential information shared with us during a project.
Clients must also keep confidential any proprietary information, pricing, processes, documentation, or materials provided by DLab Solution that are reasonably understood to be confidential.
Where a separate confidentiality or non-disclosure agreement exists, that agreement will apply according to its terms.
17. Portfolio and Marketing Use
Unless otherwise agreed in writing, DLab Solution may identify completed work as part of its portfolio or marketing materials.
Where a project is subject to white-label or confidentiality requirements, we will respect the applicable written agreement.
18. No Guarantee of Uninterrupted Service
We aim to keep our website and services available and reliable, but we do not guarantee that the website or any service will always be available, uninterrupted, secure, or error-free.
We may temporarily suspend services for maintenance, upgrades, security reasons, technical issues, or circumstances beyond our reasonable control.
19. Limitation of Liability
To the maximum extent permitted by applicable law, DLab Solution will not be liable for indirect, incidental, special, consequential, or business losses arising from the use of our website or services.
This may include loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.
Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited under applicable law.
20. Force Majeure
We will not be responsible for failure or delay in performing our obligations where the failure or delay results from circumstances beyond our reasonable control.
Such circumstances may include natural disasters, war, government action, internet or infrastructure failures, cyber incidents, labour disputes, major platform outages, or other events outside our reasonable control.
21. Termination
Either party may terminate a service relationship in accordance with the applicable project agreement.
We may suspend or terminate services where:
Invoices remain unpaid
The client materially breaches these terms
The client engages in unlawful or abusive conduct
Continuing the service would create a legal, security, or operational risk
Termination does not automatically remove payment obligations for services already provided or approved work already undertaken.
22. Changes to These Terms
We may update these Terms & Conditions from time to time.
The latest version will be published on this page with the revised “Last Updated” date.
Your continued use of our website following changes to these terms may constitute acceptance of the updated terms, to the extent permitted by law.
23. Governing Law
These Terms & Conditions shall be governed by the laws of England and Wales, unless a different governing law is expressly agreed in a written service agreement.
Any disputes will be subject to the applicable courts and dispute-resolution procedures under the governing law.
